Acceptance of these Terms
These Terms of Use (the “Terms”) apply to the website operated by Kapiti Management FZE, registration number 6694/2015, with its address at Twin Towers, Creative City Fujairah, Dubai, United Arab Emirates, including its pages, articles, forms, features, and other online materials (the “Website”). In these Terms, “Kapiti”, “we”, “us”, and “our” refer to Kapiti Management FZE.
By accessing or using the Website, you confirm that you have read, understood, and agree to these Terms. If you use the Website for a company or another person, you confirm that you are authorised to do so. If you do not agree, you must not use the Website.

Enquiries and professional engagements
Sending an enquiry, completing a form, attending an introductory call, or receiving preliminary information does not create a client, advisory, fiduciary, agency, partnership, or other professional relationship with Kapiti.
Kapiti accepts a professional engagement only when the relevant parties have completed required due diligence and agreed the scope, contracting entity, fees, responsibilities, and other engagement terms in writing. If these Terms conflict with a signed engagement agreement, the engagement agreement controls in relation to that service.
Kapiti may accept, decline, pause, or end an enquiry or proposed engagement at its discretion, subject to applicable law and any binding written agreement.

Information and documents you provide
When using the Website or contacting Kapiti, you agree to:
- provide information that is accurate, current, complete, and not misleading;
- have the right and authority to provide any information or document submitted;
- avoid impersonating another person or misrepresenting ownership, authority, purpose, source of funds, or intended activity;
- update or correct material information if it changes; and
- cooperate with lawful identity, beneficial ownership, sanctions, source-of-funds, and other due-diligence requests where a mandate proceeds.
Do not send original documents, highly sensitive information, or confidential material through a general Website form unless Kapiti specifically requests it through an appropriate channel. A Website submission is not protected by legal professional privilege merely because it is sent to Kapiti.

Fees, estimates, and third-party costs
Any prices, starting figures, packages, timelines, or cost examples shown on the Website are indicative unless expressly stated otherwise in a written proposal. They may depend on the scope, jurisdiction, authority, activity, ownership, risk profile, documents, urgency, visas, premises, and third-party requirements.
Government, authority, registry, bank, free-zone, notary, translation, courier, audit, legal, tax, and other third-party costs may be separate. Final fees, inclusions, exclusions, payment terms, taxes, and refund or cancellation conditions will be set out in the applicable written engagement terms.

Authorities, banks, and other third parties
Kapiti may coordinate with government authorities, registries, banks, free zones, professional advisers, and other third parties. Those parties remain independent and control their own decisions, requirements, timing, fees, systems, and service availability.
Kapiti does not guarantee incorporation, licensing, residency, immigration, bank-account opening, financing, tax treatment, regulatory approval, processing time, or any other third-party outcome. Past experience, an estimated timeline, or preliminary feedback is not a promise of approval.

Acceptable use
You must not use the Website to:
- break any applicable law, regulation, court order, or third-party right;
- submit unlawful, fraudulent, deceptive, defamatory, infringing, or harmful material;
- conceal beneficial ownership, evade disclosure, bypass sanctions or compliance controls, or facilitate unlawful conduct;
- gain unauthorised access to the Website, accounts, systems, data, or networks;
- introduce malware, probe security, interfere with operation, or place an unreasonable load on the Website;
- scrape, harvest, copy, or extract Website content or data at scale without written permission;

These Website limitations do not govern liability arising under a signed professional engagement, which is addressed in the relevant engagement terms. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded or limited.

Responsibility for misuse
To the extent permitted by law, you are responsible for losses, claims, costs, or liabilities reasonably incurred by Kapiti as a direct result of your unlawful use of the Website, material breach of these Terms, infringement of third-party rights, or submission of information you had no right to provide. This provision does not apply to the extent a loss was caused by Kapiti's own breach, negligence, or misconduct.

International use and compliance
The Website may be accessed internationally, but Kapiti does not represent that all content or services are appropriate, lawful, or available in every location. You are responsible for compliance with laws applicable to you and your proposed activity.
Access to services may be subject to identity verification, beneficial-ownership disclosure, anti-money-laundering controls, sanctions screening, source-of-funds review, export restrictions, professional rules, and jurisdiction-specific eligibility. Kapiti will not assist with unlawful concealment, evasion, deception, or circumvention of compliance requirements.

Governing terms and disputes
A professional engagement is governed by the law and dispute forum stated in its engagement agreement. For Website use outside an engagement, these Terms and any non-contractual obligations arising from or connected with them are governed by the laws of the United Arab Emirates, without prejudice to mandatory rights or laws that apply to you.
Before beginning formal proceedings, you and Kapiti should first attempt in good faith to resolve a Website-related dispute through written communication. If it cannot be resolved, the competent courts of the United Arab Emirates will have exclusive jurisdiction, unless mandatory law requires another forum.

General provisions
- These Terms, together with the Privacy Policy and any notices expressly incorporated by reference, form the agreement governing Website use.
- If any provision is unlawful or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue.
- A delay or failure to enforce a provision is not a waiver of that provision or any other right.
- You may not transfer your rights or obligations under these Terms without Kapiti's written consent. Kapiti may transfer its rights and obligations as part of a business reorganisation or transfer, subject to applicable law.
